End User License Agreement

This End User License Agreement ("Agreement") is between you ("User") and DraftBay ("Company") for the DraftBay software application ("Software").

By installing or using this software, you agree to these terms.

1. License Grant

We grant you a personal, non-exclusive, non-transferable right to use DraftBay. Access is account-based and tied to your active subscription; you sign in with your DraftBay account.

You may:

• Install and use the software on devices you own or control
• Use the software for your personal or business eBay listing activities
• Access our centralized AI processing service (included with subscription)

You may not:

• Share your account with others
• Reverse engineer, decompile, or modify the software
• Remove or alter any copyright notices
• Use the software for illegal activities
• Resell or redistribute the software

2. Subscription Terms

DraftBay is a subscription-based service. Your subscription automatically renews unless you cancel before the renewal date.

Billing:

• Charges occur at the start of each billing period
• We may change pricing with 30 days notice
• Failed payments may result in service suspension

Cancellation:

• You can cancel anytime through your account settings
• Service continues until the end of your current billing period
• Cancellation only prevents future billing

3. eBay Integration

DraftBay connects to eBay's services to help create listings. Important disclaimers:

• We are not affiliated with eBay - DraftBay is an independent third-party tool
• eBay's terms apply - You must follow eBay's User Agreement and policies
• No guarantees - We cannot guarantee eBay will accept generated listings
• Your responsibility - You are responsible for all listings created and posted
• Service interruptions - eBay API changes may temporarily affect functionality

4. AI Processing

DraftBay uses centralized AI processing for listing generation:

• AI processing is included with all subscription plans
• Your images are processed securely through our backend service
• Images are deleted immediately after processing
• We handle all AI interactions on your behalf

5. Data and Privacy

• We process your data as described in our Privacy Policy
• You own your images and listing content
• We may store data temporarily to provide the service
• We use industry-standard security measures
• Images are never stored permanently

6. Intellectual Property

• DraftBay software is our proprietary technology
• You retain ownership of your images and content
• We may use anonymized usage data to improve the service
• Respect others' intellectual property when creating listings

7. Service Availability

• We strive for 99% uptime but cannot guarantee uninterrupted service
• Maintenance windows may cause temporary outages
• We are not liable for losses due to service interruptions
• Third-party services (eBay, payment processors, AI providers) may affect availability

8. Limitation of Liability

To the maximum extent permitted by law:

• No warranties - The software is provided "as is"
• Limited liability - Our total liability is limited to the amount you paid in the last 12 months
• No consequential damages - We are not liable for lost profits, data, or business opportunities
• User responsibility - You are responsible for backing up your data

9. Prohibited Uses

You may not use DraftBay to:

• Create misleading or fraudulent listings
• Violate eBay's policies or any laws
• Spam or harass other users
• Interfere with the software's operation
• Access other users' accounts or data

10. Account Termination

We may suspend or terminate your account if you:

• Violate these terms
• Engage in fraudulent activity
• Fail to pay subscription fees
• Use the service inappropriately

Upon termination:

• Your access ends immediately
• You may download your data for 30 days
• No refunds for remaining subscription time

11. Updates and Changes

• We may update the software automatically
• We may modify these terms with 30 days notice
• Continued use after changes means you accept the new terms
• Major changes will be clearly communicated

12. Support and Contact

• Support is provided via email at support@draftbay.app
• We aim to respond within 24-48 hours
• Support is included with active subscriptions
• Community forums may be available

13. Legal Matters

• Governing law: United States
• Disputes: Resolved through binding arbitration
• Severability: If any term is invalid, the rest remain in effect
• Entire agreement: This EULA, Privacy Policy, and Terms of Service constitute the complete agreement
